Agreement regarding participation, indemnification, general release, and assumption of risk
PURE LIFE MARTIAL ARTS LLC I, the undersigned, on behalf of myself and, as applicable, the child or other person for whom I serve as the lawful natural guardian named in the form below (such undersigned and/or below-listed person(s) individually, the “Participant”, or, if more than one, collectively, the “Participants”), for and in consideration of Pure Life Martial Arts (defined below) allowing the Participants to undertake the Activities (defined below), do hereby, on behalf of the Participants and all parties who may claim by, through, or under the Participants, forever release, indemnify and discharge PURE LIFE MARTIAL ARTS LLC, a Florida limited liability company, and its agents, owners, officers, directors, principals, volunteers, professors, coaches, participants, clients, customers, invitees, employees, independent contractors (and such contractors’ employees, volunteers, and contractors), insurers, facility operators, land and/or premises owners, franchisees, and any and all other persons and entities acting in any capacity on their behalf (collectively “PURE LIFE MARTIAL ARTS”) and otherwise agree to the terms and conditions set forth below:
(1) Description and character of activities
Pure Life Martial Arts has agreed to provide the Participants certain martial arts, hand to hand combat, and self-defense instruction, training, and practice in disciplines including, without limitation, MMA, muay thai kickboxing, and Brazilian ju jitsu. Such instruction and training may be one-on-one or in a group and may from time to time include, without limitation, drilling techniques and group sparing. All activities related to the training and instruction are herein collectively referred to as the “Activities”. I acknowledge that participation in the Activities entails both known and unknown risks or potential risks that may include, without limitation, or derive from the following: (a) Dangerous or unsafe conditions related to being struck, punched, kicked, strangled, pinned, stretched, held down, intentionally asphyxiated or attempted to have joints hyperextended, dislocated, or broken; (b) Dangerous or unsafe conditions related to sparring opponents or training partners not feeling, hearing, or recognizing a request for submission or stoppage or otherwise acting erratically or with the intent to cause bodily harm; (c) Dangerous or unsafe conditions related to the failure of coaches, professors, or supervisors to monitor the behavior of other participants in the class, including, without limitation, for example, by failing to keep sparring pairs a sufficient distance apart, failing to recognize or disclose the physical limitations of Participants or other parties, failing to thoroughly explain or teaching a technique incorrectly, failing to restrain an overly aggressive student, encouraging Participants or other parties to do more than they are capable of, demonstrating a technique in a way that causes bodily harm; and (d) Dangerous or unsafe conditions related to a failure of equipment or facilities or the use of insufficient protective equipment, including, without limitation, not having mats on certain walls, padding within mats, gloves, or other protective equipment degrading, shuffling, or otherwise relocating, punching bags or hanging bags breaking and/or falling, and failing to keep equipment and/or the facilities in general free from germs, pests, bacteria, or viruses. I further acknowledge that such risks could result (without limitation) in damage or injury to the Participants or the Participants’ property or to that of third parties or any combination thereof which damage or injury may include, but is not limited to: destruction or loss of property, loss of balance, fatigue, dizziness, vomiting, paralysis, quadriplegia, asphyxia, death, dehydration, heat exhaustion, sprains, strains, contusions, abrasions, fractures, scrapes, bumps, burns, bruises, cuts, lacerations, skin removal, soft tissue damage, dislocations, pinched fingers and/or nerves, and/or serious, crippling and/or disabling injuries to the face, arms, hands, legs, feet, head, back, shoulders, spine, spinal cord, neck, internal body parts and/or any other body parts, nervousness, anxiety, and/or post-traumatic stress.
(2) Release of liability
Despite all known and unknown risks or potential risks, I (on behalf of the Participants and all parties who may claim by, through, or under myself and/or the Participants) agree and do hereby expressly and voluntarily remise, release, acquit, satisfy and forever discharge PURE LIFE MARTIAL ARTS and agree to hold it harmless of and from all, and all manner of action and actions, cause and causes of action, suits, sums of money, covenants, contracts, controversies, agreements, promises, damages, judgments, executions, claims and demands whatsoever, in law or in equity. I understand and agree that this release extends to and includes all such claims and damages resulting from, arising out of, or related to PURE LIFE MARTIAL ARTS’s negligence or gross negligence. As a part of this release, to the fullest extent permitted by law, I (on behalf of myself and the Participants and all parties who may claim by, through, or under myself and/or the Participants) hereby release PURE LIFE MARTIAL ARTS from all such claims and damages resulting from, arising out of, or related to PURE LIFE MARTIAL ARTS’s negligence or gross negligence. This release shall be valid, binding, and effective to release all such claims and damages for all time as to any Activities in which the Participants participate from the present and into the future.
(3) Physical condition/equipment and facilities inspection
I hereby certify that the Participants are physically fit for participation in the Activities and have the basic ability and skill level required to participate in the Activities, and none of the Participants have been advised otherwise. I agree that before the Participants participate in the Activities, I (on behalf of the Participants) have inspected the related facilities and equipment or have had the opportunity to inspect the facilities and equipment. I have or will immediately advise PURE LIFE MARTIAL ARTS of any unsafe condition observed and will refrain from participating (or permitting the Participants’ participation) in the Activities until all unsafe conditions observed have been remedied.
(4) Medical authorization
I agree that if any of the Participants sustain any injury, or experience any illness or medical condition during, or as a result of participation in, the Activities, PURE LIFE MARTIAL ARTS may apply first aid or contact emergency medical personnel for treatment, and the Participants shall be responsible for the payment for such medical attention and/or treatment; however, the Participants acknowledge that PURE LIFE MARTIAL ARTS shall have no duty, obligation or liability arising out of the provision of, or failure to provide, medical treatment.
(5) Governing law and waiver of jury trial
In the event a lawsuit is filed against PURE LIFE MARTIAL ARTS, the Participants agree that the venue rests solely in Brevard County, Florida, and that the substantive law of Florida shall apply without regard to any conflict of law rules of that State. EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, CAUSE OF ACTION OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE TRANSACTIONS CONTEMPLATED HEREBY. EACH PARTY CERTIFIES AND ACKNOWLEDGES THAT (A) REPRESENTATIVES OF THE OTHER PARTY WOULD SEEK TO ENFORCE THIS WAIVER IN THE EVENT OF LEGAL ACTION, (B) THEY HAVE CONSIDERED THE IMPLICATIONS OF THIS WAIVER, (C) THEY MAKE THIS WAIVER KNOWINGLY AND VOLUNTARILY, AND (D) THEY HAVE DECIDED TO ENTER INTO THIS AGREEMENT IN CONSIDERATION OF, AMONG OTHER THINGS, THE MUTUAL WAIVERS AND CERTIFICATIONS IN THIS SECTION.
(6) Agreement construction
If any portion of this agreement is found to be void or unenforceable, the Participants agree that the remaining portion shall remain in full force and effect. In the event that one of the Participants listed herein is a minor child or someone for whom a natural guardian is executing this agreement, notwithstanding any term or provision to the contrary herein, the scope of the release and waiver effectuated by this agreement as to such Participant shall be and is hereby expressly limited and narrowly tailored to that which is permitted under Florida law in compliance with Section 744.301, Florida Statutes, as amended or renumbered from time to time.
(7) Duration of agreement
The Participants understand that this agreement extends into the future and will have full force and legal effect each and every time any of the Participants participate in the Activities with PURE LIFE MARTIAL ARTS.
(8) Authority & indemnity
I (on behalf of the Participants) certify and confirm that I am authorized to execute this Agreement on behalf of all Participants. In the event that I have signed this agreement on behalf of a Participant who lacks legal capacity to enter into such an agreement on his or her own behalf and I lacked lawful authority to do so, I hereby agree to assume all liability of PURE LIFE MARTIAL ARTS and will indemnify and hold PURE LIFE MARTIAL ARTS harmless from and against all such liability which may arise out of such Participant’s participation in the Activities. Further, in general, the Participants hereby agree to indemnify and hold PURE LIFE MARTIAL ARTS harmless from and against any and all losses, liabilities, claims, obligations, costs, damages and/or expenses whatsoever paid, incurred and/or suffered by PURE LIFE MARTIAL ARTS relating to the Participants participation in the Activities, including, but not limited to, any and all attorneys’ fees, costs, damages and/or judgments PURE LIFE MARTIAL ARTS incurs in the event of any injury, damage and/or harm to any PURE LIFE MARTIAL ARTS agent, owner, officer, director, principal, volunteer, participant, client, customer, invitee, employee, independent contractor, insurer, facility operator, land and/or premises owner, franchisee, and/or any and all other persons and entities acting in any capacity on behalf of PURE LIFE MARTIAL ARTS.
(9) Attorneys’ fees and costs and interest
Should PURE LIFE MARTIAL ARTS, or any person and/or entity acting for it and/or on its behalf, be required to incur attorneys’ fees and/or costs to enforce this agreement, the Participants shall indemnify PURE LIFE MARTIAL ARTS for all such fees and costs, up through and including any and all appeals, including, but not limited to, all fees and costs associated with any collection efforts.
(10) Miscellaneous
Section headings and instructional verbiage on how to fill out the form as used herein are for convenience and shall not be used in the construction of this instrument. References to “I”, “my”, “Participant”, “Participants” and phrasing like “I (on behalf of the Participants)” and similar terms and phrasing shall be construed broadly to mean and confirm that the undersigned party(ies) agree to the terms and provisions of this instrument on their behalf (to the extent they are participating in the Activities) and the minors for whom they are (or may be) signing below. Such phrasing shall be given liberal construction to effectuate such purpose where context requires.
Notice to the minor child's natural guardian
READ THIS FORM COMPLETELY AND CAREFULLY. YOU ARE AGREEING TO LET YOUR MINOR CHILD ENGAGE IN A POTENTIALLY DANGEROUS ACTIVITY. YOU ARE AGREEING THAT, EVEN IF PURE LIFE MARTIAL ARTS USES REASONABLE CARE IN PROVIDING THIS ACTIVITY, THERE IS A CHANCE YOUR CHILD MAY BE SERIOUSLY INJURED OR KILLED BY PARTICIPATING IN THIS ACTIVITY BECAUSE THERE ARE CERTAIN DANGERS INHERENT IN THE ACTIVITY WHICH CANNOT BE AVOIDED OR ELIMINATED. BY SIGNING THIS FORM, YOU ARE GIVING UP YOUR CHILD'S RIGHT AND YOUR RIGHT TO RECOVER FROM PURE LIFE MARTIAL ARTS IN A LAWSUIT FOR ANY PERSONAL INJURY, INCLUDING DEATH, TO YOUR CHILD OR ANY PROPERTY DAMAGE THAT RESULTS FROM THE RISKS THAT ARE A NATURAL PART OF THE ACTIVITY. YOU HAVE THE RIGHT TO REFUSE TO SIGN THIS FORM, AND PURE LIFE MARTIAL ARTS HAS THE RIGHT TO REFUSE TO LET YOUR CHILD PARTICIPATE IF YOU DO NOT SIGN THIS FORM.
Acknowledgment
By signing this document, the Participants understand that the Participants may be found by a court of law to have forever waived my right to maintain any action against PURE LIFE MARTIAL ARTS on the basis of any claim from which the Participants, subject to the terms herein, have released PURE LIFE MARTIAL ARTS. The Participants have had sufficient opportunity to read and understand this entire document and consult with legal counsel or have voluntarily waived my right to do so. The Participants knowingly and voluntarily agree to be bound by all terms and conditions set forth herein – including, without limitation, making timely payment of the above referenced sums. THE UNDERSIGNED PARTY HAS CAUSED THIS INSTRUMENT TO BE EFFECTIVE ON THE DATE INDICATED BELOW.
